Google Inc. and Motorola Mobility Holdings, Inc. announced that they have entered into a definitive agreement under which Google will acquire Motorola Mobility for $40.00 per share in cash, or a total of about $12.5 billion, a premium of 63% to the closing price of Motorola Mobility shares on Friday, August 12, 2011. The transaction was unanimously approved by the boards of directors of both companies.

The acquisition of Motorola Mobility, a dedicated Android partner, will enable Google to supercharge the Android ecosystem and will enhance competition in mobile computing. Motorola Mobility will remain a licensee of Android and Android will remain open. Google will run Motorola Mobility as a separate business.

Larry Page, CEO of Google, said, “Motorola Mobility’s total commitment to Android has created a natural fit for our two companies. Together, we will create amazing user experiences that supercharge the entire Android ecosystem for the benefit of consumers, partners and developers. I look forward to welcoming Motorolans to our family of Googlers.”

Sanjay Jha, CEO of Motorola Mobility, said, “This transaction offers significant value for Motorola Mobility’s stockholders and provides compelling new opportunities for our employees, customers, and partners around the world. We have shared a productive partnership with Google to advance the Android platform, and now through this combination we will be able to do even more to innovate and deliver outstanding mobility solutions across our mobile devices and home businesses.”

The transaction is subject to customary closing conditions, including the receipt of regulatory approvals in the US, the European Union and other jurisdictions, and the approval of Motorola Mobility’s stockholders. The transaction is expected to close by the end of 2011 or early 2012.
Comment on Google-Motorola deal
Naveen Mishra, Lead Analyst, Telecoms Practice, CyberMedia Research, leading IT, Telecom and Entrepreneurship research firm said, “Google’s acquisition of Motorola Mobility can be seen as part of an evolutionary process – in late 2007Google developed an open source mobile OS platform named Android and offered it to smartphone OEMs at a practically zero licence fee.

“This was a very attractive proposition, as it brought down the total bill of materials (BOM) for a smartphone and a large number of OEMs adopted the Android OS to launch smartphones at very competitive price points. Such smartphones found near instant appeal with customers in developing markets such as India.

“A widely distributed and popular platform like the Android mobile OS also attracted a large number of developers who started developing imaginative ‘apps’ for the Android Market.

“By July 2011, the total number of apps available on the Android Market had crossed 250,000 and had seen 4.5 billion downloads. This is further expected to grow as global smartphone shipments are expected to grow worldwide in 2011 and 2012. In 2011, the proportion of smartphones shipped in India is expected to touch nearly 12 million out of a total of 210 mobile handset shipments. Of this, the share of Android OS smartphones is expected to touch 22%, against only 9% in 2010.

“Motorola Mobility had been turning in poor business and financial numbers over the last 2-3 years, but the key reasons that Google seems to have pitched to acquire the mobile phone pioneer at a premium at this stage are – the approximately 17,000 patents that Motorola Mobility has in its kitty, which would help Google create and launch a very differentiated set of smartphone products, and the headstart it is expected to provide Google to effectively compete against rivals like Apple, Research in Motion, Microsoft-Nokia and Samsung by riding on the market knowledge, brand image and distribution reach of Motorola Mobility, without having to build a new business from base up”, Naveen further added.

The Indian telecom services industry that faced grave accusations of scams last fiscal, put up a brave fight to grow at 14.9% and post revenues of Rs 166,168 crore in FY1010-11, up from previous year’s earnings of Rs. 1,44,600 crore.

Telecom services revenue include revenue from cellular, fixed line, National Long Distance (NLD), International Long Distance (ILD), broadband, VSAT services.

The cellular services market, the largest among all the communication services offered in the country, grew at 16.6% to cross the Rs 100,000 crore revenue milestone (Rs 102,230 crore) in FY2010-11 from Rs 87,680 crore a year before. The fixed lines and revenues, the only significant means of telecommunications until mid 1990s continued decline both in terms of number of connections and revenues (Rs 11602 crore, YoY decline of 15.6%).

Mr. Ibrahim Ahmad, Group Editor of Voice&Data said, “The recent tariff hike will help the industry invest in telecom infrastructure that delivers better customer experience through improved quality of service.”

Active subscribers cross 501 Mn as SIM cards swell to 812 Mn
Even though the telecom regulator reported India’s mobile subscription base at 812 million at the end of March 2011, that number includes a large base of inactive subscriptions. This includes those who are in the ‘grace period’ after their SIM validity has lapsed, with them having not charged their SIM cards for months or even years.

The active subscribers, represented by the figure in the VLR (visitor location database), reported by TRAI was at 574 million. Using a very conservative estimate of multi-SIM usage at just under 15% (1.15 SIMs per user) Voice&Data estimated the actual active user base in India at 501 million, for March 2011. This growth indicates huge untapped market for the mobile operators.

Three mobile operators–Bharti, Reliance and Vodafone–now boast of a subscriber base of over 100 million each. The subscriber base for fixed line in the country is languishing at 34.71 million.
.
Most top cities have statistically achieved near 100% mobile penetration that nearly 20% of the mobile subscribers are inactive.

Fixed line players—BSNL, MTNL and Bharti Airtel—reported a revenue decline, others like Reliance Communications, TTSL and TTML posted growth in revenues.

The International Long Distance (ILD) segment posted a 10.1% growth to touch revenue of Rs. 22,607 crore in FY11 compared to Rs 20,530 in FY10. While Tata Communications, the largest ILD player, posted revenue of Rs 8,672 crore showing a growth of just 0.5%, smaller players like Verizon, Idea and Aircel grew at a very healthy rate, at 61.7%, 59.3% and 43.9% respectively.

The ILD segment grew as Indian telecom operators increased their presence in foreign markets. This brought additional ILD revenue for domestic operators. With falling rates there has been a substantial growth of inbound voice traffic into India.

According to Voice&Data estimates, the two PSU players-MTNL and BSNL, who have the first mover advantage in the 3G space-seeded the market by adding 1.8 million subscribers.

Broadband, the fifth large segment of the telecom services space, posted revenues of Rs. 6,846 crore recording a growth of 22.4% over last year’s earnings of Rs 5,591 crore. While BSNL and MTNL saw 40% and 32.9% growth in FY2010-11 in their broadband revenues respectively, the other state-run telecom operator MTNL grew just 8% over the same period.

The industry failed to achieve the Indian Government’s target of 20 million broadband connections by 2010 even by end of March, 2011, ending with just 11.87 million subscribers. Here also, the top 30 cities contributed nearly 60% to all the broadband subscribers.

The popularity of Value added services (VAS), that include the basic SMS, ring-tone downloads, navigation aids and mobile payment features, picked up during 2010-11. The vast potential of the Indian market kept the VAS providers on their toes to build content and services focused on the Indian market. The VAS business, fast growing in terms of number of players, is highly competitive leading to wafer thin margins. And with 3G services proliferating, this space is likely to get even more competitive and exciting.

Bharti Airtel, retained its position for the second consecutive year, by posting a growth of 42.1%, to end the fiscal with revenues of Rs. 59,467 crore. Vodafone Essar posted revenue of Rs 27,348 crore in FY11 from Rs 23,559 showing a healthy growth of 16.1% and emerged as the third largest player. Reporting a marginal growth of just 4.4% Reliance Communications was at No. 4 with revenues of Rs. 23,108 crore.

The leading public sector giant BSNL saw a drop in its revenues for the third consecutive year to end the year with Rs. 28,877 crore, a drop of 10% from its last year’s earnings of Rs 32,072 crore. Idea Cellular, Tata Communications and Tata Teleservices retained their slots at No. 5, 6 and 7 with revenues of Rs. 15,503 crore, Rs. 11,932 crore and Rs. 8,280 crore, respectively.

Aircel retained its No. 8 slot–by recording the highest growth of 44.1%–among the Top 10 players, to post revenue of Rs. 5,392 crore. MTNL’s revenue dropped nearly 22%—the biggest drop among the top 10 players–to post revenue of Rs. 3,951 crore at No 9.

The revenues of the Indian telecom equipment industry plunged 2.52% to touch Rs 1,17.039 crore in 2010-11, from Rs 1,20,069 crore in FY2009-10.

This together takes the size of the Telecom (equipment and services) industry size to Rs 283207 crore in 2010-11, up 7% from Rs 264669 crore reported in 2009-10.

According to the annual telecom industry survey, the 16th from the specialty publishers CyberMedia, close to half of the telecom equipment revenue came from carrier equipment manufacturers, which saw a dip of 12.12% to touch Rs 58,294 crore during the year. In FY2009-10, the segment registered revenue of Rs 66,332 crore.

The enterprise equipment vertical grew at 0.87% to report revenues of Rs 24,023 crore for the same period from Rs 23,815 crore in FY2009-10. The user device segment that includes mobile handsets, fixed phones, data cards and tablets, contributed more than one-third to the total telecom equipment industry, at Rs 34,722 crore recording a growth of 16.04%.

MTS, the mobile telephony services brand of Sistema Shyam TeleServices Ltd (SSTL), announced the launch of an eco-friendly data center in Noida, near Delhi. The Green Data Centre has been built by IBM and complies with the Tier 3 standards. It is MTS’ third Data Center in the country after similar set ups in Chennai and Jaipur. The company has invested over Rs 35 crore in its latest data centre.

According to Rajeev Batra, chief information officer, MTS India, “With the commissioning of MTS’ Data Centre in Noida, we now have three state of the art data centers across the country. This latest set up would provide impetus to the MTS data focused strategy and is in line with our plans to foray into cloud computing services segment. What makes this latest data center all the more special is its extremely low carbon foot-print.”

Equipped with state-of-the-art facilities, the new Green Data Center facilities have spread over an area of about 22,000 sq ft. The Noida Green Data Centre will add to the reliability and resilience of the MTS Services and Applications for customers. The applications in the centre will be in shared and fall-back mode between Chennai and Noida for enhanced customer experience.
Tata DOCOMO, the GSM arm of Tata Teleservices launches 3G services in India with technology support from its Japanese partner NTT DOCOMO, the global leader in 3G services. It would become first private operator to launch 3G services in India.3G services will bridge Digital Divide with high-speed Internet access – 3G services will also provide a superior voice experience to consumers.

Tata Teleservices Limited shall simultaneously launch its 3G services this Diwali in all the nine Circles where it has the 3G license-Karnataka, Kerala, Madhya Pradesh-Chhattisgarh, Rajasthan, Gujarat, UP (West), Punjab, Haryana and Maharashtra.

“Tata DOCOMO’s 3G services will provide customers a dual advantage-trusted service from the House of Tata, riding on the technological excellence of NTT DOCOMO,” Mr Anil Sardana, Managing Director, Tata Teleservices Limited, said. “We have been able to complete the ramp-up of our network to support 3G services due to the superb 3G-ready network we created at the time of our 2G launch itself, last year. Our 3G rollout across all nine Circles will be completed this year itself.”

Tata Docomo’s HSPA+ 3G Network, set up with the assistance of NTT Docomo, supports high-speed Internet access with speeds of up to 21.1 Mbps. Technical literature often refers to this as ’3.5 G+’. The network also supports high-definition voice (HD Voice) for a superior voice experience on calls.

3G devices such as handsets, dongles and tablets, powered by Tata Docomo applications and services, will take the Internet world to the far corners of the country, bridging the Digital Divide and creating a strong multiplier effect for economic progress.

Tata DOCOMO’s 3G offering starts off on a rich and heady note, with the introductory service portfolio itself including applications like Video-SMS, Video-Streaming, Mobile Television, Ultra-High-Speed Data Transfers, Route-Finder, Live Aarti, and much more. Progressively, NTT DOCOMO will bring to India the various 3G products and services that will give Tata DOCOMO customers a flavor of tomorrow. NTT DOCOMO is closely working with TTL on future technologies like Long-Term Evolution (LTE) and much more.

NTT DOCOMO has played a major role in the evolution of mobile telecommunications through its development of cutting-edge technologies and services. Over the years, technologists at NTT DOCOMO have defined industry benchmarks for 3G and 4G technology, as also products and services such as i-mode and a plethora of lifestyle-enhancing applications. Today, while most global telecom players are only beginning to talk of 4G technology and its possible applications, NTT DOCOMO has already recorded a downlink transmission rate of 250 Mbps over a high-speed wireless network in an outdoor test of an experimental system for Super 3G, also known as LTE, and is targeting to complete the commercial development by the end of 2010.

TTSL and NTT DOCOMO are closely engaged in integrating technology, value-added services, products and applications through the mechanism of Business and Technology Cooperation Committee (BTCC). BTCC, which meets regularly, comprises of senior management representatives from both companies.
